ADDITIONAL INFORMATION REQUIRED UNDER THE SGX LISTING MANUAL

Material Contracts

Save for the following material contracts entered into in relation to the rights issue of convertible bonds, no material contract involving the interests of any Director or controlling shareholder of the Company has been entered into by the Company or any of its subsidiary companies since the end of the previous financial year and no such contract subsisted at the end of the financial year:

1. On 31 March 2009, the Company and Overseas-Chinese Banking Corporation Limited ("OCBC Bank") entered into a Management and Underwriting Agreement.
2. On 8 April 2009, the Company, OCBC Bank and Third Avenue International Value Fund entered into a Standby Purchase Agreement.
3. On 8 April 2009, the Company, OCBC Bank and Third Avenue Institutional International Value Fund, L. P. entered into a Standby Purchase Agreement.

Public Float

As at 2 December 2009, 31.73% of the total number of issued share of the Company excluding treasury shares was held by the public and accordingly, Rule 723 of the SGX-ST's Listing Manual has been complied with.

Treasury Shares

As at 2 December 2009, the total number of treasury shares held is 174,703 representing 0.07% of the total issued shares excluding treasury shares.
